1. Agreement to these terms

These terms of use ("Terms") are a legal agreement between you and Symple Tech Solutions LLC ("we," "us," or "our") governing your access to and use of our websites, applications, APIs and services, including SympleOps and AgentCPQ (together, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. About the services

SympleOps is an AI-assisted platform for Salesforce delivery: it reads org metadata, prepares changes in a sandbox, and requires human approval before anything reaches production. AgentCPQ is a quoting and lightweight CRM platform for small and growing businesses. The specific capabilities of each product are described on its product page, and those descriptions form part of your understanding of what the Services do.

3. Accounts and eligibility

You must provide accurate and complete information when you create an account, and keep your credentials confidential. You are responsible for all activity that occurs under your account, and you must notify us promptly of any unauthorised use.

4. Acceptable use

You agree not to:

• Use the Services to violate any law or regulation;
• Attempt to gain unauthorised access to any part of the Services, or to the systems or data of other users;
• Interfere with or disrupt the integrity or performance of the Services;
• Resell, sublicense, or otherwise provide access to the Services to third parties except as expressly permitted;
• Introduce malicious code, or attempt to reverse engineer the Services except to the extent the law expressly allows.

5. Your data and user content

You retain ownership of the content and data you submit to the Services. You grant us a limited licence to store, process and display that content solely to provide the Services to you. We process personal information as described in our Privacy Policy.

6. Commercial terms and billing

Specific pricing, payment, subscription and cancellation terms are set out in the applicable order form, subscription agreement or product page at the time of purchase. Where those documents differ from these Terms, the document specific to your subscription applies to that subject matter.

7. Intellectual property

The Services, including their software, design, text, graphics and other materials, are owned by Symple Tech Solutions LLC or its licensors and are protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes; they do not transfer any ownership interest.

8. Third-party services

The Services may interoperate with third-party products, such as Salesforce, and may rely on third-party infrastructure and AI model providers. Those third parties have their own terms, and we are not responsible for the availability or acts of services we do not operate.

9. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or free of harmful components. AI-generated output is a draft prepared for human review; you are responsible for reviewing and approving anything that goes into production or is sent to a customer.

10. Limitation of liability

To the maximum extent permitted by law, Symple Tech Solutions LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or related to these Terms or the use of the Services, whether based on contract, tort or otherwise, even if advised of the possibility of such damages. Our total aggregate liability under these Terms will not exceed the amount you paid us for the Services in the twelve months before the claim, or one hundred dollars if no such fees were paid.

11. Changes to these terms

We may update these Terms from time to time. Material changes will be posted on this page with a new "last updated" date. Continuing to use the Services after the effective date of a change constitutes acceptance of the revised Terms.

12. Suspension and termination

We may suspend or terminate access to the Services for a breach of these Terms, for conduct that creates risk or legal exposure, or where required to protect the security or integrity of the Services. Upon termination, your right to use the Services ends immediately, and provisions that by their nature should survive will survive.

13. Governing law

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. Any dispute arising out of these Terms will be brought in the state or federal courts located in Orange County, California.
